Governance Assistant Secretary – Barclays Group

Governance Assistant Secretary: Barclays is seeking a Governance Assistant Secretary to provide expert guidance and support to the Corporate Secretariat Team and key stakeholders across the Group on corporate governance matters. The role involves managing regulatory announcements, maintaining insider lists, supporting share capital maintenance, and assisting with key events such as the Annual General Meeting (AGM) and the publication of financial results and Annual Reports for Barclays PLC and Barclays Bank PLC.

Key Responsibilities

  • Act as Company Secretary for regulated or significant legal entities, liaising with the Chairman, senior executives, and board members.

  • Provide advice on corporate governance, company law, regulatory requirements, and directors’ fiduciary duties.

  • Prepare and review corporate governance documents, including board charters, policies, terms of reference, and matters reserved for the board.

  • Support corporate projects, including reorganisations, mergers, liquidations, and formation of subsidiaries.

  • Maintain statutory registers, conflict of interest registers, and other compliance-related records.

  • Assist stakeholders in complying with Group policies and governance standards.

  • Support operational risk and control frameworks, identifying improvements and mitigating risks.

Essential Skills & Qualifications

  • Graduate of the Chartered Governance Institute (UK & Ireland), a UK-qualified corporate lawyer, or equivalent.

  • Strong academic record (2:1 or equivalent).

  • Excellent written and verbal communication skills.

  • High attention to detail and accuracy.

  • Strong organisational skills, able to prioritise workload and perform under pressure.

  • Proactive, flexible, and able to work independently or as part of a team.

  • Experienced in planning and delivering complex, multi-disciplinary projects.

Desirable Skills & Experience

  • Company secretarial or corporate law experience within a UK-listed company or reputable law firm.

  • Financial services sector experience.

  • Proficiency in Word, Excel, PowerPoint, and Outlook.

  • Knowledge of the UK Companies Act 2006 and corporate governance principles.
